Thomas J. (Tommy) Simendinger

Thomas J. (Tommy) Simendinger is an Associate with Adams, Stepner, Woltermann and Dusing, PLLC. He focuses his practice primarily in the areas of real estate, commercial finance, business representation and estate planning.

Tommy is a lifelong resident of Northern Kentucky and attended St. Pius X, Villa Madonna Academy and Covington Catholic High School. During his high school years, he was also selected to be part of the Governor’s Scholars Program.

He then went on to graduate from the University of Kentucky, where he was the recipient of a four-year full academic scholarship and graduated summa cum laude. While he was at the University of Kentucky, he spent a semester abroad at the University of Georgia’s Cortona, Italy campus studying Italian Renaissance art history.  Tommy also attended the Indiana University Maurer School of Law in Bloomington, where he was the recipient of a three-year full academic scholarship and was the President of the Sports and Entertainment Law Society.

Prior to his start at ASWD, Tommy worked in various roles for several sports organizations, including those in the NBA, NCAA, NFL, NASCAR and USA Track and Field. He also worked with start-up businesses and entrepreneurs at the Kentucky Innovation Network and UpTech accelerator program in Covington.

Tommy currently lives in Covington with his wife, Samantha, and their daughter, Caroline. His annual goals include breaking 90 on the golf course, reading two books a month, correctly handicapping the Kentucky Derby and seeing every Academy Award Best Picture nominee.

Real Estate

Tommy assists the Real Estate group in handling the acquisition, development and financing of real estate projects that include residential, commercial and industrial subdivisions, as well as individual sites for single purpose entities. He has worked on multi-million dollar projects from the concept development stage through building construction and/or acquisition, which has included all phases of construction, whether new construction or renovation.

Among the acquisition and development phases, projects may include negotiation of specific contracts with multiple parties of interest; drafting of easements, restrictions and protective covenants to protect the interests of his clients; and overseeing and managing the details to ensure the successful close of the project.

Tommy has assisted most of the firm’s developer and banking clients, providing counseling on sophisticated, multi-million dollar commercial developments, land acquisitions, developments and financing. His practice has comprised all aspects of real property law including land development, title insurance, curing title defect issues, zoning and land use, sales and acquisitions, leasing, taxation and project financing. Representative clients include owners, buyers, developers and builders.

Commercial Lending and Leasing

Tommy assists the firm’s Commercial Lending practice group that handles real estate based financing and asset based financing.

Representative clients include conventional banks and financial institutions, as well as insurance companies and capital equity groups. Types of lending include construction lending, convertible loans, short term and long term loans, revolving lines of credit and capital expenditure loans.

Additionally, Tommy represents landlords and tenants in commercial leases, including shopping center spaces, which involves negotiating with national chains.  Projects include spaces for anchor tenants, boutique tenants, and leasing of outlots for specific purposes.

Shopping center projects may address public restrictions as well as private restrictions and may involve negotiating with governmental entities for project approval. Tommy is keen to draft specific language such as use restrictions to provide for the proper tenant mix from a landlord’s perspective and use restrictions to provide market protection from the tenant’s perspective.

Business Representation

As a part of the firm’s Business Representation practice group, Tommy draws on his experience in entrepreneurship and the sports industry to assist clients in navigating a broad range of business and legal issues relating to the creation, transfer, expansion, and sale of a business.

Prior to joining ASWD, Tommy worked closely with start-up businesses and entrepreneurs at the Kentucky Innovation Network and UpTech accelerator program by helping with matters ranging from the closing/winding down of companies to exploring uncharted avenues of follow-on funding. With this experience with entrepreneurs, Tommy understands their needs and the pace at which they expect results. Because of this, Tommy is uniquely suited to assisting any entrepreneur or small business owner with their legal or business issues.

In addition to his experience with entrepreneurs, Tommy has a deep background in the sports industry, having worked in many leagues and for many organizations in legal and business roles, including the NBA, NCAA, NFL, NASCAR, and USA Track and Field. Through these experiences, not only does Tommy have an extensive understanding of the problems facing sports executives and organizations but he also understands the needs of businesses in general.

Estate Planning/Probate

In addition to practicing in the firm’s Business Representation group, Tommy also works in the firm’s Estate Planning & Probate practice group assisting clients with their estate planning needs, including wealth preservation, probate, succession of family businesses and trust administration. He is also adept at developing creative solutions to protect an individual’s or family’s current situation as well as their long-term plans.

Community

Tommy remains active in the local entrepreneurial ecosystem with continued involvement in the UpTech accelerator program and the Northern Kentucky Innovation District. Tommy and Samantha both enjoy being involved with the Behringer-Crawford Museum, where Samantha is a member of the Board of Directors. Tommy is a member of the Leadership Northern Kentucky Class of 2018 and currently serves on the NKY Chamber’s Eggs ‘N Issues Committee. He also is a member of the Northern Kentucky Young Professional’s group (NKYP) and the St. Elizabeth’s Foundation Young Patron’s Guild.
